Terms of Service - Shiftable

1. Purpose

These Terms of Service ("Terms") govern your use of the Shiftable service ("Service") provided by Plain Potato, an individual business owner ("we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. Definitions

For the purposes of these Terms: "Service" refers to the Shiftable shift schedule management platform. "User" or "staff" refers to any individual who accesses or uses the Service. "AI Schedule" refers to computer-generated shift schedules created using artificial intelligence. "Rules" refers to workplace policies and constraints set by users for schedule generation. "Workplace" refers to the business or organization for which schedules are created.

3. Effectiveness and Changes to Terms

These Terms become effective immediately upon posting on the Service. We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of the Service after changes constitutes acceptance of the new Terms. Users will be notified of significant changes via email or through the Service.

4. Registration and Account Management

To use the Service, users must register with valid email addresses. Users are responsible for maintaining the confidentiality of their account information and for all activities under their account. Users must promptly notify us of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Service Provision and Changes

We provide AI-powered shift schedule management services including schedule generation, editing, and sharing features. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any modifications, suspensions, or discontinuations of the Service.

6. Fees and Payment

The Service is provided on a subscription basis. Current pricing is $29/month or $290/year. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. Payment is processed through third-party payment processors. Users are responsible for all applicable taxes.

7. AI Scheduling Disclaimer

AI-generated schedules are provided as-is without warranties. While we strive for accuracy, AI schedules may contain errors or not meet all requirements. Users are responsible for reviewing and validating all AI-generated schedules before implementation. We are not liable for any consequences arising from the use of AI-generated schedules.

8. Third-Party User Disclaimer

Schedule links may be shared with third parties (staff, employees, etc.) who are not direct users of our Service. We have no control over how these third parties use the schedule information. We are not responsible for any misuse, illegal activities, or damages caused by third parties who access schedules through shared links. Schedule creators are responsible for ensuring appropriate use of shared schedules and for any consequences arising from sharing schedule information.

9. User Obligations

Users agree not to: (a) use the Service for illegal purposes, (b) attempt to reverse engineer or hack the Service, (c) use automated systems to access the Service, (d) share account credentials, (e) upload malicious content, (f) interfere with Service operation, or (g) share schedules with individuals who may use the information for illegal purposes. Violation may result in account termination.

10. Our Obligations

We will: (a) provide the Service with reasonable care and skill, (b) maintain appropriate security measures, (c) protect user data in accordance with our Privacy Policy, (d) provide reasonable customer support, and (e) notify users of significant service changes. We do not guarantee uninterrupted service availability.

11. Data and Content Rights

Users retain ownership of data they input into the Service. By using the Service, users grant us a limited license to process their data for service provision. We may use anonymized, aggregated data for service improvement. Users are responsible for ensuring they have rights to all data they upload.

12. Privacy Protection

We collect, use, and protect personal information in accordance with our Privacy Policy. By using the Service, users consent to our data practices as described in the Privacy Policy. Users may request access to, correction of, or deletion of their personal information.

13. Service Restrictions and Termination

We may restrict or terminate service for violations of these Terms. Users may terminate their account at any time. Upon termination, user data will be deleted within 30 days. We are not liable for any damages resulting from account termination.

14. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount paid by the user in the 12 months preceding the claim. This limitation applies to all causes of action.

15. Dispute Resolution

These Terms are governed by the laws of South Korea. Any disputes shall be resolved through binding arbitration in Seoul, South Korea. Users waive any right to a jury trial or class action. Small claims court actions are not subject to this arbitration clause.

16. Miscellaneous

These Terms constitute the entire agreement between users and us. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. These Terms are binding on users' successors and assigns.
